Minutes
The meeting was called to order by President Ivelaw Gibson at 7:04 p.m.

Ivelaw Gibson announced Nancy Jackson had resigned. Therefore there was a vacancy on the board and someone needed to be appointed. During the May 28th meeting Pattie Guerriero had been appointed as an alternate board member per the recall ballots. However according to our bi-laws an alternate board member is not allowed. Ivelaw Gibson then proposed that Pattie Guerriero fill the vacancy on the board.

A motion was made by Amy Deering and seconded by Fred Wood. Unanimous Vote.

Pattie Guerriero was welcomed to the board as Secretary and Ivelaw Gibson stated that from this point on there will be no alternate to be appointed to the board.

Before we proceeded with the agenda Ivelaw Gibson stated that we should conclude the business for Saturday, June 9th meeting where we heard presentations from three (3) firms. Upon discussion with the homeowners on June 9th it was concluded the homeowners wanted a licensed management firm. The homeowners also spoke and expressed their views on which they wanted based on the presentations given.

It was noted that there were five (5) board members present to have Quorum. The following board members were present: Ivelaw Gibson, David Yeager, Fred Wood, Amy Deering and Pattie Guerriero. As well as thirty six (36) homeowners. The notification of both Saturday, June 9th meeting and this evening's meeting had been posted in the Quail Valley entry way.

The minutes from the April 10, 2007 meeting were approved.

The minutes form the May 28, 2007, recall meeting appointing new board members were approved.

The minutes from the June 9, 2007 meeting were approved.

Fred Wood gave a brief recap of the presentation heard on Saturday, June 9th. The brochure for EMP was passed around for any homeowner that was not present on June 9th to review before a motion to select EMP as our management firm was made.

A motion was made by Fred Wood and seconded by Amy Deering. Unanimous Vote.

Ivelaw Gibson will contact EPM either this evening or tomorrow morning to draw up a contract. This contract will be a two (2) year contract that either party can terminate with sixty (60) days notice.

David Yeager wanted to have a discussion about fee to EMP. The fee per their presentation is $5.60 per door a month for the first year and is to increase a couple of cents the second year of our contract.

David Yeager suggested that we lock in the same rate for the second year of our contract. It was also suggested that if they will not do it that we should only enter into a one (1) year contract with EMP.

David Yeager announced that he had heard from Rock Properties. They do not have any documents to be submitted to the homeowners at this time. They want to have three (3) to four (4) options for us to choose from before they will submit anything to us. David Yeager also reassured us that nothing will be done to the sign until the different options have been given to us and we make a decision.

As per David Yeager there is a well sitting on the property, that we want them to move at Walgreen’s expense, as well as the trees and anything else that needs to be moved. We would also like to see the property deeded over to Quail Valley. Once David Yeager receives the different options they have for us he will bring them to the board and to the homeowners.

Ivelaw Gibson addressed the fact that we need volunteers for the different committees within the community.

ARC
Jeff Luck, who was the previous chairman of this committee resigned as well as Francine Scocca. We need a new chair for this committee.

John Dole at 337 Trade Wind Drive said he would like to be on the committee; however he does not want to be the chair.

The following people also volunteered to be on the committee:
  • Moonilall Ramnauth at 711 Cherry Laurel Street (he said that he is licensed in home improvement)
  • Barbara Feger at 537 Gentle Breeze Drive
  • Bill Hirschey at 541 Gentle Breeze Drive
  • Natalie Yancey at 346 Gentle Breeze Drive

It was also decided that board members are not to be on this committee.

Nominating Committee
This committee seeks out willing candidates to run for the board starting seven (7) months prior to the election.
  • Jeff Luck, who was the previous chairman of this committee resigned. We need a new chair for this committee.
  • Bob Dempsey said that he would like to be on the committee but he does not want to be the chairman.
  • Anson Currie at 639 Gentle Breeze Drive also volunteered to be on this committee.

Welcome Committee
Barbara Feger at 537 Gentle Breeze Drive volunteered to be on this committee but she does not want to be the chair.

Neighborhood Watch
The following people volunteered to be on this committee:
  • Becky Ocfemia at 112 Carlyle Street
  • Kathy Kelly at 109 Gentle Breeze Drive
  • Ryan Sbrissa at 244 Valley Edge Drive
  • John Dole at 337 Trade Wind Drive

Natalie Yancey asked if there is anyway we could do a background check on new residents, whether they are owners or renters and if it was legal. The board did not know whether it is legal but they will look into it.

As far as David Yeager knows the City of Minneola will be taking over the waste water as of August 1, 2007. The City will hold a workshop with city staff and present everything to the homeowners. The fees to the city will be higher because our dues of $396.00 per year are not enough to run the plant.

Ivelaw Gibson discussed the two (2) possibilities that we have to make sure that the homeowners are not being “double-dipped”.
  • Possibility of a credit toward next years dues
  • Possible refund

Assured Accounting told Ivelaw Gibson that there are about one hundred (100) homeowners that still have not paid their dues.

Barbara Feger asked if the board would be willing to file any LIENS instead of paying a fee to an outside company. Ivelaw responded that we are trying to keep the board as policy makers and that we are hiring a management company to take care of managing and that we do not want to combine the two.

Ryan Sbrissa asked the board if we will have a preliminary break down of the financials available to new homeowners.

Natalie Yancey asked if there would be an adjustment for our dues to the homeowners.

David Yeager told the homeowners that the original plan was for the HOA to cut a check to the city out of our dues to cover the fee. That is not the case anymore. When the City of Minneola takes over our waste water the city will begin billing us immediately. The City will get us numbers for the new fees and will give the homeowners an opportunity to ask questions.

The sewer system will only be available to new neighborhoods.

Anson Currie asked if the monthly bill from the city will be more of less than what we are paying now. David Yeager answered by telling us that our fees will be more, and that we have a great deal paying $396.00 a year. The original $27.00 that was assessed is inaccurate and it will be more than that.

David Yeager talked about the storm water fund on our water bills and why the fund exists.

The cost of the waste water will be specific to each home, depending on how much waste water we use. Homeowners can install a second meter to their homes. One will calculate just the wastewater and the other will calculate just the irrigation. The City estimates that at least fifty percent (50%) of people's water bill is irrigation water.

A resident asked if homeowners are allowed an alternative to the sewer such as a well. David responded by saying no, the city does not allow it.

Ivelaw Gibson gave the President’s Report.

The new Board went to Matt Earnest’s house and got the association property. The boxes have remained sealed since they were picked up and will remain that way until EPM comes on board. Everything is at Amy Deering’s house.

The ARC property has been collected from Jeff Luck. Everything is at Amy Deering’s house.

The Welcome Committee property has been collected from Francine Scocca. Everything is at Amy Deering’s house.

Fred Wood has gotten all the stuff from Nancy Jackson as well as the paint schemes from Jeff Luck.

Ivelaw Gibson has met with the accountant at Assured Accounting and about a hundred people (100) have not paid their dues.

Ivelaw is still trying to locate two (2) CD’s that were purchase for QVLOA.

Ivelaw spoke to the landscaper Al Torrello and had made a request to get a copy of the contract, to date he has not received anything from Torrello.

B & E, Co. is the company working on the retention ponds. Ivelaw had requested a copy of the contract from them as well. B & E called Ivelaw and told him that they can not give him a copy of the contract they need the board to sign a written request that is notarized.

The new management company we have selected (EPM) has legal counsel as well as an accountant that we will use. Ivelaw will get a copy of our contract with Assured Accounting and see what we can do to get out of it. They are not effective in what we need from them.

The homeowners are getting impatient with getting a password to get onto our website.

Pattie Guerriero made a motion to get rid of the password all together. Amy Deering seconded. Unanimous Vote.

To the QVLOA Board of Directors:

The Quail Valley Architectural Review Committee (ARC) wishes to clarify a statement which appears in the approved minutes of the March 2007 Board of Directors meeting.

According to those minutes, the Association has changed its house paint supplier from Sherwin Williams to Ace Hardware. The ARC sees no reason for such a change, and has approved no such change.

In fact, the ARC continues to recommend Sherwin Williams as the source of choice for exterior house paint. Sherwin Williams supplied the original paint for all the homes in Quail Valley, and maintains a file of Lot Numbers and the colors used to paint the house exteriors. Staff at Sherwin Williams have been most helpful and patient in assisting the ARC to develop a booklet of allowable colors, which the ARC has reviewed and approved. It has been necessary to develop this booklet in order to provide homeowners with a centralized and authoritative means of identifying their original house colors, or to provide them with choices in case their original house color is no longer available, or they wish to change their house color.

The ARC has no objection if homeowners purchase their paint from other sources such as Home Depot, Lowe’s, True Value or Ace Hardware. However, any paint purchased from these other sources must match one of the Sherwin Williams colors as closely as possible and must be approved by the AR before actual paint is applied.

Natalie Yancey asked how long it will take to remove the password from the website. Bob Dempsey told us that it will take a couple of days depending on what he has to do to get it removed.

A resident asked how much is the optimum reserve amount for our funds? Ivelaw answered by telling the audience that we are not sure how much we have or need. Mr. Gibson knows that one (1) CD is from Bank of America purchased on February 12, 2007. It is an eleven (11) month CD for $30,000.00 with 4.64% interest.

Jean Gibson asked if we know whose name the CD was purchased in.

John Dole asked about the trees at the entrance. What is happening to them and what is going on with the money, should we decide to sell them. Fred Wood told the homeowners that the Board of Directors has chosen not to do anything with the trees or shrubs until we know what is going on for sure. Ivelaw asked Fred if we had any documentation from Walgreen’s. Fred Wood said he had an old letter that stated that we had thirty (30) days to tear out the sign and that we had to send them a letter with our intentions with in five (5) days.

As of this meeting the Board of Directors is waiting to hear from Walgreen’s before we do anything.

Thomas Lacey at 133 Gentle Breeze Drive stated that he was outraged at the Profit & Loss Summary.

Some of the homeowners wanted to know if we will pursue a lawsuit.

Pattie Guerriero volunteered to pick up garbage at park twice a week. Some other residents that live next to the park volunteered as well. Ivelaw Gibson informed us that whoever empties the garbage that the garbage can not just be placed at the curb. Pursuant to his conversation with the sanitation company any garbage not picked up from a residence is considered commercial and will be billed for a commercial garbage pick up. Mr. Gibson suggested that who ever does empty the garbage needs to take it home with them and put out with their trash.

David Yeager addressed some issues that have to do with the city as well as Quail Valley.
  • If a homeowner is throwing away paint cans and there is paint in the can, the paint will spill onto the ground when it is crushed and there is no cleaning that up. If we have paint cans that have paint in them, we need to fill them with something or let the paint dry before putting them at the curb. In addition we can recycle the paint cans with Lake County.

  • Parking on the sidewalk is prohibited. Code Enforcement will be going through neighborhood and will be giving out tickets.

  • The City of Minneola just purchased a new motorcycle. There will be a new motorcycle traffic police officer.

A motion was made by Fred Wood to adjourn the meeting and seconded by Amy Deering.
